  • Form 8-K Requirement Rule Change
    The SEC’s recently adapted new rule relating to Form 8-K requirements expands the number of events that are reportable on Form 8-K under the Securities Exchange Act of 1934.
  • SEC’s Statement Regarding Guidance for MD&A Preparation
    Effective December 29, 2003, the Securities and Exchange Commission issued guidance on preparation of Management’s Discussion and Analysis. The actual release statement clearly illustrates what the SEC staff is looking for in annual and quarterly reports, and registration statements.
  • SEC’s New Disclosure Requirements and Amendments to Existing Requirements
    In November 2003, the Securities and Exchange Commission issued a final rule adopting new disclosure requirements and amendments to existing disclosure requirements to enhance the transparency of the operations of boards of directors.
  • Sarbanes-Oxley Act
    A summary regarding the current status of implementation requirements of the Sarbanes-Oxley Act. The major provisions of the act have been captured, emphasizing aspects that are more applicable to public companies as opposed to specific provisions applicable to accounting firms, although such provisions are also briefly discussed.
  • PCAOB Registration Approved
    The Public Company Accounting Oversight Board (PCAOB) recently approved GHP’s registration per new requirements stated in the Sarbanes-Oxley Act of 2002.
